1. Introduction
Welcome to Edumatika. These Terms & Conditions (“Terms”) govern your use of our LMS support services (“Services”). By subscribing to or using our Services, you agree to these Terms in full. If you disagree with these Terms or any part of these Terms, you must not use our Services.
2. Definitions
- Client: The individual or entity subscribing to Edumatika’s Services.
- Services: LMS support services provided by Edumatika, including but not limited to SSO integrations, security audits, performance optimization, and technical support.
- Subscription: The recurring payment plan that grants the Client access to the Services.
3. Eligibility
By using our Services, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal capacity to enter into these Terms.
- You will use the Services only in compliance with these Terms and applicable laws.
4. Service Description
Edumatika provides technical support and optimization services for Learning Management Systems (LMS). Our Services include, but are not limited to:
- SSO integrations
- Security and performance audits
- Technical support and troubleshooting
- LMS optimization and consulting
5. Subscription and Payment
5.1 Subscription Plans
Clients can subscribe to our Services on a monthly basis. The subscription fee is due at the beginning of each billing cycle and grants the Client access to the Services for that cycle.
5.2 Payment
Payments for subscriptions must be made through our authorized payment processor (e.g., Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis for the subscription fee and any applicable taxes.
5.3 Refunds
Subscription fees are non-refundable. In case of any disputes regarding payments, please contact our support team.
6. Client Responsibilities
6.1 Accurate Information
The Client agrees to provide accurate and up-to-date information when subscribing to the Services. Failure to do so may result in suspension or termination of the Services.
6.2 Compliance
The Client is responsible for ensuring that their use of the Services complies with all applicable laws and regulations.
6.3 No Resale
The Client agrees not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from Edumatika.
7. Service Limitations
7.1 No Guaranteed Uptime
While we strive to provide continuous access to the Services, Edumatika does not guarantee uptime or availability. Scheduled maintenance and unforeseen outages may temporarily disrupt access to the Services.
7.2 Limitation of Liability
To the fullest extent permitted by law, Edumatika shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services.
8. Termination
8.1 Termination by Client
The Client may cancel their subscription at any time. Upon cancellation, the Client will continue to have access to the Services until the end of the current billing cycle.
8.2 Termination by Edumatika
Edumatika reserves the right to suspend or terminate the Client’s access to the Services for any reason, including but not limited to breach of these Terms or non-payment.
9. Intellectual Property
All content, trademarks, and data on the Edumatika website and Services, including but not limited to software, databases, text, graphics, icons, and hyperlinks, are the property of or licensed to Edumatika and are protected by law.
10. Modifications to the Terms
Edumatika reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Wyoming. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming.
